By accessing or using NEDL.AI, you confirm that:

You have the legal capacity to enter into this agreement
If acting for an organization, you have authority to bind that organization

What We Grant You

We grant you a limited, non-exclusive, non-transferable license to use NEDL.AI for your internal business operations according to your subscription plan:

Trial License: 30-day evaluation period
Professional License: Full access based on your subscription
Enterprise License: Enhanced features and support

License Restrictions:

You may not:

Share your access with unauthorized users
Reverse engineer or modify our service
Use NEDL.AI for illegal purposes
Exceed your subscription limits
Develop competing products using our service
Upload harmful content or malicious code

3. Your Data and Privacy

Your Data Rights:

You own all data you upload to NEDL.AI
We only process your data to provide our services
You must have the right to use any data you upload

4. Intellectual Property

You retain ownership of your data. You grant us permission to process your data solely to provide our services.

5. Payment Terms

Subscription fees are billed as specified in your agreement
All fees are non-refundable
You're responsible for applicable taxes
We may suspend service for non-payment

6. Support Services

Your subscription includes:

Technical support via our ticketing system
Software updates and maintenance
Documentation and training materials
Business hours support (Monday–Friday, 8 AM - 6 PM EST)

7. Disclaimers and Limitations

Service Availability:

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted service or specific results.

Limitation of Liability:

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE PAST 12 MONTHS. WE ARE NOT LIABLE FOR INDIRECT DAMAGES, LOST PROFITS, OR DATA LOSS.

8. Term and Termination

Duration:

Your subscription continues for the period specified in your agreement and renews automatically unless terminated.

Termination:

Either party may terminate:

With 90 days' notice for convenience
Immediately for material breach
Upon termination, we will provide data export for 30 days

9. Confidentiality

Both parties agree to keep confidential:

Technical information
Business strategies
Customer data
Financial information

10. Indemnification

You agree to defend us against claims arising from:

Your use of the service
Your data or content
Violation of these Terms or laws

11. General Terms

Governing Law

These Terms are governed by Texas law. Disputes will be resolved through arbitration or in Texas courts.

Updates to Terms

We may update these Terms with 30 days' notice. Continued use means acceptance.

Assignment

You cannot transfer these Terms without our consent. We may assign our rights as part of business operations.
